1. Acceptance of Terms

By accessing or using AxiSub Live Captioning (the "Service"), operated by LinkAcc Solutions Ltd. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

AxiSub Live Captioning is a browser extension and web platform that provides real-time speech-to-text transcription and optional translation of audio from videos playing in your browser. We also offer an offline subtitle service for uploaded media files, metered separately at the rate shown at checkout. Continuous processing. While the extension is active on a tab, that tab's audio is streamed to our servers continuously and transcribed ahead of playback — this is what lets subtitles appear without waiting for the speaker to finish. Audio may therefore be processed even if you are not looking at the subtitles, have closed the extension popup, or are viewing another tab. Pause or disable the extension before playing audio you do not want processed. Silent or muted audio is not charged. Third-party platforms. The extension runs on top of websites and video players that we do not own or control. We are not affiliated with, endorsed by, or sponsored by them, and your use of those sites is governed by their own terms. The extension is distributed through the Chrome Web Store, and your use of that store is governed by Google's terms. Changes to the Service. We may add, change, or discontinue features. If we discontinue a feature in a way that materially reduces what you paid for, we will give reasonable notice and, where appropriate, credit your account.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 16 years of age to use the Service.

4. Service Credits and Payment

The Service operates on a prepaid credit system, metered per audio second processed: one credit per second of transcription with translation, or two credits per three seconds for transcription only. Credits are purchased as one-time packages through our payment processor Lemon Squeezy (Lemon Squeezy, LLC), which acts as the Merchant of Record for all transactions. This is not a subscription: you are only charged when you make a purchase. Credits do not expire. Prices are displayed inclusive of applicable taxes where required by law. Because audio is processed ahead of playback, you may be charged for segments you did not read. If your balance becomes negative — for example if credits that were already spent are later reversed — you must add credits before using the Service again. New account promotion. For the first 3 days after account creation, we grant a daily promotional credit that brings your balance up to 300 credits if it is below 300 credits. You do not need to purchase credits first. If your balance is already 300 or above — for example because you purchased credits — no promotional credit is applied for that day. We may change or end this promotion at any time.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or disassemble the Service; (c) interfere with or disrupt the Service or its infrastructure; (d) use the Service to process content you do not have the right to access; (e) resell, sublicense, or redistribute the Service without our prior written consent.

6. Intellectual Property

The Service, including its software, design, and branding, is owned by LinkAcc Solutions Ltd. and protected by applicable intellectual property laws. You retain ownership of any content you process through the Service. We claim no rights over your input audio or output transcriptions and translations.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that transcriptions or translations will be error-free, complete, or suitable for any particular purpose. AI-generated output may contain inaccuracies. Do not rely on the Service where an error could cause harm — including medical, legal, safety-critical, or emergency situations — and keep a human review step wherever accuracy matters.

8. Limitation of Liability

To the maximum extent permitted by law, LinkAcc Solutions Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, and (b) CA$50. Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by our negligence.

9. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. You may delete your account at any time by contacting us. Upon termination, unused credits are non-refundable unless otherwise required by law. See our Privacy Policy for what happens to your data.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the paragraph below, any disputes shall be resolved in the courts of Ontario, Canada. Nothing in this section deprives you of the protection of any mandatory consumer protection law of your country, province, or state of residence, or of your right to bring proceedings before the competent courts there.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service and replace any earlier agreement on that subject. You may not assign or transfer these Terms without our written consent; we may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it. Neither party is liable for delay or failure caused by events beyond its reasonable control. This agreement is provided in several languages for convenience; in the event of any inconsistency, the English version prevails.
